Cision publishes the most vacuous, fluffed up press release you ever saw
Cision, which makes tools for PR professionals, will become a $2.4 billion publicly traded company through a maneuver with a capital company. They’re holding a call to explain it Monday at 11.
If you read those 31 words, you know everything you need to about this news.
Press releases tend toward fluff. But this one — from a company that dominates the press release industry — is the fluffiest ever. It’s rife with passive voice, weasel words, jargon, legalese, meaningless platitudes, preposterous and vacuous quotes from executives, and just plain blather. It’s 2,214 words long. That makes it 98.6% empty verbiage — a record low meaning ratio.
Here what you can learn from this press release:
- If you have something simple to say, just say it and be done with it.
- Using jargon words to describe your company doesn’t impress anyone — it just confuses people.
- Not everyone needs to get a quote in the press release. Vague and cheery statements from money people are especially meaningless.
- When you distribute press releases for a living, your press releases should be exemplary, not vacuous.
Here’s the original beast in its entirety. I’ll show the fluff in italic, provide commentary, and supply a straight-to-the-point translation. Feel free to give up on this at any point — you’re only human, without an unlimited capacity for swallowing empty prose — but if you get to the end I’ll give a cookie or two.

Commentary: You’re going public and investors can call in. You don’t need three subtitles, one of which is passive and weaselly (“Well Positioned to Capitalize on . . . “).
Translation: Cision will have more money to invest through a financial combination with a capital company. If you really care, listen in on Monday at 11.
CHICAGO and WASHINGTON, March 20, 2017 /PRNewswire/ — The parent company of Cision, a leading global provider of cloud-based earned media solutions, and Capitol Acquisition Corp. III (NASDAQ: CLAC; “Capitol”), a public investment vehicle, announced that they have entered into a definitive agreement in which Cision will become a publicly listed company with an anticipated initial enterprise value of approximately $2.4 billion.
Commentary: This is the actual news, and clearly stated. The release could easily have been limited to just this paragraph. But even here, Cision must describe itself with jargon. Can you imagine a PR or marketing person saying “Hmm, which provider of cloud-based earned media solutions should we use? I hear that Cision is a leading one of those . . . let’s call them!”

Commentary:
Meaningless weasel words: sophisticated, easy-to use, compelling, rich, consistent, meaningful, enduring.
Jargon: Communications Cloud, earned media (that’s what we used to call “press” or “ink”).
Fruity verbs: deliver, reach, craft, impact, arm, link, align, enable, build, amplify. I like a good juicy verb, but reading this reveals a new rule: no sentence should have more than two verbs in it. More verbs creates the impression of bullshit.
Translation: Cision makes tools for public relations and marketing professionals to seek and measure influence.
Cision’s management team, led by CEO Kevin Akeroyd and CFO Jack Pearlstein, will continue to run the combined company post-transaction. Capitol Chairman and CEO, Mark Ein, will join the combined company’s board of directors and serve as Vice Chairman. Capitol’s President and CFO, Dyson Dryden, will also join the board.
Translation: The same people are in charge of Cision, but now there will be two moneymen from Capitol on the board.
“There is a shift in corporate marketing spend to the earned channel driven by its higher ROI and proven success in building brands and the declining efficacy of traditional paid media advertising,” said Mark Ein, Chairman and CEO of Capitol. “We are investing in Cision, a market leader, to get behind this large, important trend and position the company for accelerated future growth. We think the combined company will deliver superior returns for investors long into the future.“
Commentary: Obligatory quote, but heavy on the meaningless platitudes. “Large, important trend,” is a sad and meaningless set of words. But “We think the combined company will deliver superior returns for investors long into the future.” sets the gold standard for platitudes.
Translation: [None — paragraph has no meaning.]
The rise of marketing technology is driving increased investment in communications and PR. According to Gartner Inc., marketing technology spend is expected to exceed spend on core enterprise IT by 2017 and is growing at a much faster rate (12% vs. 3%, respectively). With the effectiveness of paid advertising declining, as evidenced by GlobalWebIndex research indicating that 60% of desktop users have used ad-blockers, marketing technology spend is shifting toward earned media channels. These tailwinds, coupled with strategic flexibility provided by the merger, will broaden Cision’s market opportunity beyond leadership in global communications intelligence software and services, a $3 billion industry according to Burton-Taylor International Consulting LLC, into the marketing software market, which IDC estimates will reach $32 billion by 2018, and ultimately into the broader digital marketing and data markets.
Commentary: Numbers are better than vague qualifiers — but they must be relevant. Marketing technology spending is indeed rising, but comparisons to IT are irrelevant to this release. Advertising spend is also rising, even if some people use ad blockers. The release offers no proof of share of earned media channels vs. paid. There is no evidence that Cision can compete in marketing software with the likes of Adobe or Oracle, and as a result, these market sizes are aspirational. These numbers are a smokescreen.
Translation: Marketing software is a tantalizing $32 billion market. We needed money to chase this opportunity.

Commentary: Wondering who GTCR is? It turns out they’re the investment company that now owns Cision, but that’s not in the release. All this fluff and they left out an actual relevant fact.
Translation: The current owners, current managers, and future capital providers are all thrilled today.
Summary of Transaction
Under the terms of the proposed transaction, the combination will be effected through a “contribution and exchange” pursuant to which Cision will be contributed to a wholly owned subsidiary of Capitol (“Holdings”) that will become a publicly traded entity following a subsequent merger of a subsidiary of Holdings into Capitol. The combined company will have an anticipated initial enterprise value of approximately $2.4 billion implying a 10.5x multiple of projected 2017 Adjusted EBITDA and a multiple of 9.2x projected 2018 Adjusted EBITDA.
GTCR and current management are retaining 100% of their equity in the company. At closing, current Cision shareholders and current stockholders of Capitol will hold approximately 68% and 32%, respectively, of the issued and outstanding shares of the new publicly traded company’s common stock, with GTCR remaining a majority owner. A portion of the consideration to Cision’s shareholders will be in the form of incentive earnout shares totaling up to 6 million common shares, issued in 2 million increments when the combined company’s stock price reaches $13.00, $16.00 and $19.00 per share.
The net cash proceeds from this transaction are expected to be used to pay down Cision’s existing second lien debt.
The boards of directors of both Capitol and Cision have unanimously approved the proposed transaction. Completion of the transaction, which is expected in the second quarter of 2017, is subject to approval by Capitol stockholders and other customary closing conditions.

Commentary: This jargon-laden paragraph basically repeats the second paragraph. Surprisingly enough, it’s not any clearer on a second reading. It does list the brand names and customer counts, which is what boiler plate ought to do.

Great dissection of this type of crap, Josh. The word “craft” in the second paragraph says it all – a euphemism for “we’ll write up some bullshit like this for you because we’re so much more clever than your readers…and probably you who hired us too.”
And what company wants to be know as “a leader”, which simultaneously tells the reader there must be many “leaders” in this business that may be just as good. Yet most continue to persist with it as if it really means something.
